Job Description

The Senior Counsel will work with the Deputy General Counsel and other members of the legal team.

• Advise on all registered funds related legal matters, including drafting and reviewing all offering, marketing and documentation, reviewing for SEC and FINRA compliance
• Provide legal advice and aid in provisions relating to 1940 Act compliance as it pertains to transactions, fund of fund matters, advisory, etc.
• Negotiate a wide range of agreements with registered fund counterparties, including closed-end funds, mutual funds, real estate investment trusts and various fund managers
• Manage outside counsel as necessary
• Work closely with other members of the legal team on additional projects as they arise

The Successful Applicant

• JD from top law school with excellent academic credentials and GPA
• Admitted to NY State Bar
• 4-10 years of experience within the Registered Funds/Mutual Funds group of a top law firm or in-house at a registered fund or bank
• Very strong experience with the '40 Act, registered fund formation matters and mutual fund legal matters
• Team player
• Excellent communication skills
